October 2019 AGM and Member Mingle: Aravina Estate

Notice is hereby given that an Annual General Meeting (AGM) of the Margaret River Busselton Tourism Association (MRBTA)
will be held at 5:30 PM on Wednesday October 30th 2019 at Aravina Estate.

To allow members to make informed decisions the Explanatory Memorandum which accompanies and forms part of this Notice of Meeting, describes in more detail those matters to be considered at the AGM including amendments to the MRBTA Constitution which seek to realign the terms of Board Directors to better manage Board succession and the retention of corporate memory.  

Members will therefore be asked to consider, and if thought fit, to pass, the following resolution as a special resolution: 

“It is resolved that, for the purposes of section 51 of the Associations Incorporation Act 2015, rule 21 of the Association’s constitution and for all other purposes, the Association’s constitution be amended as shown in mark-up in Annexure A of this Notice of Meeting.”

Members can vote on this special resolution in-person at the AGM, or by proxy. Where a member is unable to attend the meeting, we encourage that member to appoint a proxy by completing and returning the enclosed Proxy Form to the Public Officer at least 72 hours before the commencement of the meeting (as per Rule 17H).  Completed proxy forms can be received by fax, email, mail or in-person: by 5.30pm on Monday 27th of October 2019.

Board Elections

Further to our recent correspondence inviting nominations for MRBTA’s Board of Directors, MRBTA also wishes to advise that THREE (3) nominations have been received for the TWO (2) vacancies that exist.

Given there are more nominees than positions, an election will conducted via postal ballot.   The 2019 Ballot Pack is provided below with information on nominees and how to vote.

Who can vote

Current Financial Members (2019/20) of MRBTA are entitled to vote, and the person voting should be the nominated representative of the business.

How to vote

Anyone who wishes to vote, should review the credential statements of the nominees to determine who they wish to vote for considering the importance of Directors responsibilities and the skills of the nominees.

  1. The nominated representative must complete the Voting Authorisation form and a Postal Ballot (The postal ballot form is where you will write an ‘X’ next to your preferred candidate(s). It must be completed regardless of how you return your form)
  2. The forms must be returned to the Public Officer by 4.30pm on Wednesday 30th of October 2019 via fax, email, mail or in person.

    Please note:  Ballots will not be accepted at the AGM. This is to ensure the votes can be independently audited and verified.
